Terms of Service

These Terms of Service (the "Terms") govern your access to and use of the Cart X application for Shopify, the website at cart-x.io, and related services (together, the "Service"). The Service is operated by Funnelish Pte. Ltd., a company incorporated in Singapore with its registered office at68 Circular Road, #02-01, Singapore 049422 ("Funnelish", "we", "us").

1. Agreement

By installing Cart X on a Shopify store, creating an account, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of a business, you represent that you are authorised to bind that business, and "you" refers to the business. If you do not agree, do not install or use the Service.

2. The Service

Cart X is a Shopify app that lets merchants create and manage upsell and cross-sell offers on their store, including pre-purchase popups, post-purchase one-click offers, and thank you page offers, together with related analytics. The Service runs inside the Shopify platform and depends on Shopify's APIs, checkout, billing and extension systems. Features may vary based on your Shopify plan, payment gateway, market and Shopify's own requirements, which we do not control.

We may add, change or remove features from time to time. Where a change materially reduces the core functionality you pay for, we will give reasonable notice through the app or by email.

3. Eligibility and accounts

You must have an active Shopify store and be at least 18 years old (or the age of majority where you live) to use the Service. Your Cart X account is tied to your Shopify store and staff accounts. You are responsible for all activity under your store's account, for keeping your Shopify credentials secure, and for ensuring that staff who access Cart X are authorised to do so.

4. Plans, fees and billing

4.1 Plans

Cart X offers a free plan and paid plans. Plans are described on our pricing page and in the app. Each plan includes a maximum number of store orders per calendar month, meaning all orders placed on your store, whether or not they include a Cart X offer. Plans do not cap the upsell revenue you may generate and do not charge a percentage of revenue, per-order fees or usage fees. Offers displayed on the free plan include a small "Powered by Cart X" attribution, which is removed on paid plans. If we withdraw a plan from sale, merchants already subscribed to it may keep it on its existing terms until they change plan or uninstall.

4.2 Limits and upgrades

If your store's monthly orders exceed the number included in your plan, we will notify you in the app and you will need to upgrade to continue using the Service beyond that limit. Upgrades and downgrades are made in the app and confirmed through Shopify. We may, at our discretion, continue displaying offers for a grace period after a limit is reached.

4.3 Billing through Shopify

All fees are billed in US dollars through Shopify Billing and appear on your Shopify invoice, subject to Shopify's billing terms. Fees are exclusive of taxes; you are responsible for any applicable taxes other than taxes on our income. Because billing is handled by Shopify, refunds are generally not available except where required by law or where we determine, in our reasonable discretion, that a charge was made in error.

4.4 Price changes

We may change our prices or plan limits. Changes take effect at the start of your next billing cycle after we give at least 30 days' notice through the app or by email. Continued use after the effective date constitutes acceptance.

5. Your responsibilities

You agree that you will:

  • comply with Shopify's Terms of Service, Acceptable Use Policy and API terms, and with all laws that apply to your store, including consumer protection, advertising, pricing and e-commerce laws in the markets you sell to;
  • ensure that any offers, discounts, timers, claims and content you create with Cart X are accurate, lawful and not misleading, and that products offered are available at the stated price;
  • provide customers with any notices and choices required by law, including a privacy policy that covers your use of apps like Cart X;
  • keep your Shopify store, theme and payment settings in a state that allows the Service to function;
  • not use the Service to sell products or services that are illegal or prohibited by Shopify.

You are solely responsible for the offers you configure, the content you upload, and the transactions that result. We do not review or approve merchant content.

6. Customer data

To operate, Cart X processes data about your store's customers and orders that Shopify makes available to us (such as names, email addresses, shipping addresses, order contents and order values). As between you and us, you are the controller of this personal data and we act as your processor (or service provider). We process customer data only to provide the Service, in accordance with your instructions, these Terms and ourPrivacy Policy, and we apply appropriate technical and organisational security measures. We honour Shopify's mandatory data requests, including customer data access and erasure requests and store redaction after uninstall. Cart X never receives or stores full payment card numbers; payment is handled entirely by Shopify and your payment gateway.

7. Acceptable use

You may not, and may not permit anyone else to:

  • copy, modify, reverse engineer, decompile or create derivative works of the Service, except to the extent permitted by law;
  • resell, sublicense, rent or provide the Service to third parties, or use it to build a competing product;
  • access the Service through automated means other than Shopify's official interfaces, or attempt to bypass usage limits, plan limits or security controls;
  • use the Service to display deceptive, fraudulent, defamatory, infringing or otherwise unlawful content, or to send unsolicited communications;
  • interfere with the integrity or performance of the Service or the data of other merchants.

8. Intellectual property

The Service, including its software, design, documentation, trademarks (including "Cart X" and the Cart X mark) and all related intellectual property, is owned by Funnelish or its licensors. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your own store while these Terms are in force. You retain all rights in the content, product information and branding you provide, and grant us a licence to host, display and process it solely to provide the Service. If you send us feedback or suggestions, we may use them without obligation.

9. Third-party services

The Service depends on Shopify and may interoperate with payment gateways, themes and other apps. Those services are governed by their own terms and we are not responsible for them. In particular, the availability of post-purchase offers depends on Shopify checkout and on your payment gateway's support for post-purchase charges.

10. Availability and support

We aim to keep the Service available at all times but do not guarantee uninterrupted or error-free operation. Maintenance, Shopify platform changes and events outside our control may cause interruptions. Support is provided through in-app chat and by email at hey@cart-x.io during our normal business hours; response times are targets, not guarantees.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT AND ANY WARRANTIES ARISING FROM COURSE OF DEALING. WE DO NOT WARRANT THAT THE SERVICE WILL INCREASE YOUR SALES, CONVERSION RATE OR AVERAGE ORDER VALUE. ANY FIGURES ON OUR WEBSITE OR IN THE APP ABOUT TYPICAL RESULTS ARE ILLUSTRATIVE AND NOT A PROMISE OF PERFORMANCE.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, FUNNELISH AND ITS DIRECTORS, EMPLOYEES, AGENTS AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE FEES YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED US DOLLARS (US$100) IF YOU HAVE PAID NO FEES. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED BY LAW.

13. Indemnification

You will defend, indemnify and hold harmless Funnelish and its affiliates, officers, employees and agents from and against any claims, damages, losses and expenses (including reasonable legal fees) arising out of or relating to your store, your products, the offers and content you create with the Service, your customers' transactions, or your breach of these Terms or applicable law.

14. Term and termination

These Terms apply from the moment you install or use the Service until terminated. You may terminate at any time by uninstalling Cart X from your Shopify store; charges stop in accordance with Shopify Billing. We may suspend or terminate your access if you breach these Terms, if required by Shopify or by law, or if we discontinue the Service (with reasonable notice where practicable). On termination your licence ends, offers stop displaying, and we will delete or redact your store's data in line with our Privacy Policy and Shopify's requirements. Sections 6, 8 and 11 to 17 survive termination.

15. Changes to these Terms

We may update these Terms from time to time. We will post the updated Terms on this page with a new "last updated" date and, for material changes, notify you through the app or by email. Changes take effect on the date stated; your continued use of the Service after that date constitutes acceptance.

16. Governing law and disputes

These Terms are governed by the laws of the Republic of Singapore, without regard to conflict-of-law rules. Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity or termination, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with the SIAC Rules in force at the time, seated in Singapore, in English, before a single arbitrator. Either party may seek interim or injunctive relief from the courts of Singapore. Where local law grants you non-waivable consumer rights, nothing in this section limits them.

17. General

These Terms, together with the Privacy Policy and any plan descriptions in the app, are the entire agreement between you and us regarding the Service. If any provision is held unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to an affiliate or in connection with a merger, acquisition or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control. Notices to you may be sent through the app or to the email address on your Shopify account; notices to us should be sent to hey@cart-x.io.
